TERMS OF SERVICE
These Terms of Service (the "TOS") govern the use of the products and services provided by SporeLogic, a Delaware C Corp doing business as SporeLogic ("SporeLogic" or "we" or "us"), to the customer ("you" or "Company"). By accessing or using our services, you agree to be bound by these TOS.
1. Services Provided
SporeLogic will provide the Customer Simulation Tool ("CST") and related services as described in the Statement of Work ("SOW"). All services and experiments provided are subject to the terms set forth in the respective SOW and these TOS.
2. Payment & Billing
- Cost & Trial: The services provided during the trial period are $100 per organization (B2B, Company) per month, unless otherwise stated as a "trial period" in a marketing incentive(e.g. First Month Free)
- Payment Terms: After the trial period, services will be billed as per the agreed-upon terms in the SOW. Payments are due within 15 days of receipt of the invoice and payable within 30 days.
- Late Payment: If payment is not received within the specified period, SporeLogic reserves the right to suspend services until full payment is made.
3. Confidentiality
Both parties agree to protect confidential information exchanged during the term of this agreement. You acknowledge that any proprietary or confidential information received from SporeLogic must not be disclosed or used for any purpose other than to perform under these TOS. This confidentiality obligation extends for a period of two years after termination of the agreement, except for trade secrets, which are protected indefinitely.
4. Data Privacy
- Non-Use of Personal Information: You agree not to input any personal information into the CST. We will not use, store, or share any personal data unless required by law.
- Data Usage: Any data input into the CST will solely be used for generating simulation results and will not be shared or sold to third parties without your consent, except as required by law.
- LLMS: SporeLogic integrates Large Language Models (LLMs) via API integrations. By default these APIs do not train on any inputs or outputs from use of these systems.
5. Limitation of Liability
To the fullest extent allowed by law, SporeLogic shall not be held liable for any indirect, incidental, consequential, special, or punitive damages resulting from the use of our services, even if we were aware of the possibility of such damages.
We do not guarantee the accuracy or completeness of simulation results and are not responsible for any loss or downtime, especially in cases where the software is in its Alpha stage.
6. Independent Contractor Status
SporeLogic is an independent contractor and is not an employee, agent, or partner of your company. As such, we are solely responsible for our taxes and other legal obligations.
7. Termination
You or SporeLogic may terminate the use of services at any time with written notice. If terminated prior to completion of the services, you agree to compensate SporeLogic for all services rendered up until the termination date.
In case of early termination during the trial period, services performed must be paid as specified in the SOW.
8. No Guarantee of Results
SporeLogic does not guarantee that the results produced by the CST will be accurate, comprehensive, or reliable. Simulations are for testing purposes and may not reflect real-world outcomes.
9. Assignment
You may not assign your rights or obligations under these TOS to any third party without our prior written consent.
10. Governing Law
These TOS will be governed by and constructed in accordance with the laws of the State of Delaware, with the venue for disputes being in the state.
11. Modification
SporeLogic reserves the right to modify these TOS at any time. Changes will be effective upon publication of the updated TOS, and your continued use of services constitutes your acceptance of those changes.
12. Acknowledgment
By using the services provided by SporeLogic, you acknowledge and agree to these TOS. You further confirm that you have the authority to bind the Company to these TOS.
